Terms of Service

1. Parties and agreement

These Terms of Service (“Terms”) are a legal agreement between you (“Customer”, “you”, or “your”) and Andjello Ltd (“Seltrx”, “we”, “us”, or “our”), a company incorporated in Nigeria.

By registering for, accessing, or using the Seltrx platform — including the Cashier App, Pro App, Owner App, and associated services — you confirm that you have read, understood, and agree to these Terms in full. If you do not agree, you must not use the platform.

2. Definitions

• Platform: The Seltrx software applications and services, including the Cashier App, Pro App, Owner App, Admin Dashboard, and website.
• Account: Your registered account on the platform.
• Business Account: An account created by a business owner to manage their service business on Seltrx.
• Pro: A service professional who has been invited to join a Business Account and uses the Pro App.
• Transaction: A recorded sale attributed to a Pro through the Cashier App.
• Subscription: A paid plan that grants access to additional features and reduced transaction fees.

3. Accounts and registration

Business accounts

To use Seltrx, a business owner must create a Business Account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

Pro accounts

Service professionals may only join the platform by accepting an invitation from a registered Business Account. Pros acknowledge that transaction records attributed to them are shared with the business owner.

Account accuracy

You agree to provide accurate, current, and complete information at registration and to keep that information up to date. We reserve the right to suspend or terminate accounts with false or misleading information.

4. Subscriptions and payments

Plans

Seltrx offers a Free tier and paid subscription plans (Starter, Growth, and Enterprise) as described on our pricing page. Paid subscriptions are billed annually in Nigerian Naira (NGN).

Transaction fees

Transaction fees apply based on your active plan. Free tier accounts are subject to per-transaction fees on all sales recorded through the platform. Paid plans offer progressively lower transaction fees.

Renewals and cancellations

Paid subscriptions automatically renew at the end of each billing period unless cancelled through the Owner App before the renewal date. Cancellations take effect at the end of the current billing period; no refunds are issued for unused periods unless required by applicable law.

Withholding Tax (WHT)

Where applicable under Nigerian tax law (CITA or PITA), withholding tax obligations in respect of payments to Andjello Ltd are the responsibility of the payer. Seltrx will issue appropriate receipts and documentation to support your tax compliance.

5. Acceptable use

You agree not to:

• Use the platform for any unlawful purpose or in violation of any applicable Nigerian law or regulation
• Record false or fraudulent transactions
• Attempt to gain unauthorised access to any other account or system
• Reverse engineer, decompile, or disassemble any part of the platform
• Use automated scripts or bots to interact with the platform
• Transmit malware, viruses, or other malicious code
• Resell or sublicense access to the platform without written consent
• Use the platform to harass, abuse, or harm any person

6. SMS notifications and communications

The Seltrx platform includes an SMS notification system that sends transactional alerts to registered Pros. By registering a phone number on the platform — whether as a business owner or as a Pro — you consent to receiving these service-related SMS messages.

You are responsible for ensuring that phone numbers registered on your account belong to individuals who have consented to receive SMS communications from Seltrx on your behalf.

7. Data and privacy

Your use of the platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

As a business owner, you act as a data controller in respect of personal information you input about your staff. You are responsible for obtaining any necessary consents from your team members and for complying with applicable data protection obligations.

8. Intellectual property

All intellectual property rights in the Seltrx platform — including the software, design, trademarks, and content — are owned by or licensed to Andjello Ltd. Nothing in these Terms grants you any rights to our intellectual property except the limited licence to use the platform as described herein.

You retain ownership of the business data and transaction records you enter into the platform. By submitting content to the platform, you grant us a non-exclusive licence to process that data to provide and improve our services.

9. Availability and service levels

We aim to provide a reliable platform but do not guarantee uninterrupted availability. The platform is provided “as is”. We will use reasonable efforts to notify you in advance of planned maintenance that may affect availability.

We reserve the right to modify, suspend, or discontinue any feature of the platform with reasonable notice, except where urgent security or legal requirements necessitate immediate action.

10. Limitation of liability

To the maximum extent permitted by applicable Nigerian law, Andjello Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunity, arising from your use of or inability to use the platform.

Our total aggregate liability to you in respect of any claims arising under or in connection with these Terms shall not exceed the total fees paid by you to Seltrx in the 12 months preceding the event giving rise to the claim.

11. Termination

You may terminate your account at any time through the Owner App or by contacting us at hello@seltrx.com.

We may suspend or terminate your account immediately if you materially breach these Terms, engage in fraudulent activity, or if required by law. Upon termination, your right to use the platform ceases. We will retain your data as described in our Privacy Policy.

12. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will provide at least 14 days' notice by email or via in-app notification before the changes take effect. Your continued use of the platform after the effective date constitutes your acceptance of the revised Terms.

13. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.
